Terms of Service

These Terms of Service (the “Terms”) are an agreement between you and Sharka Software, LLC, the company that operates LoyaltyChips (“LoyaltyChips,” “we,” “us”). By creating an account, starting a subscription, ordering hardware, or using a LoyaltyChips reward page, you agree to these Terms. How we handle personal data is described in our Privacy Policy and Cookie Policy.

1. The service

LoyaltyChips is a loyalty platform for businesses (“venues”). It combines physical NFC/QR hardware — chips, cards, stickers, and stands — with a web dashboard. A venue’s customers tap or scan a chip, land on the venue’s branded reward page, and claim rewards there. No app is required. People who claim rewards at a venue are “members” or “customers” in these Terms.

2. Accounts and sign-in

  • Both venue owners and rewards members sign in with an email magic link, a one-time SMS passcode, Google, or Apple. One-time passcodes are transactional messages; your carrier’s message and data rates may apply.
  • Member accounts are optional. A customer may claim rewards at a venue’s reward page without an account by providing a name and a phone number or email.
  • You are responsible for keeping the email address, phone number, and third-party accounts you use to sign in secure, and for activity that occurs under your account.
  • To open a venue account you must be able to form a binding contract and use the service on behalf of a real business you are authorized to represent.

3. Plans, trials, and billing

  • Subscription plans: Starter $29/month, Growth $49/month, Pro $99/month. Annual billing is available at $290, $490, and $990 per year respectively — two months free compared with paying monthly.
  • Additional locations: on Growth, each additional location is $29/month. Pro includes three locations; each location beyond three is $25/month.
  • Every plan starts with a 30-day free trial. A credit card is required to begin the trial; you are not charged until the trial ends, and you can cancel before then at no cost.
  • Payments are processed by Stripe. Card details go directly to Stripe and never touch our servers.
  • Subscriptions renew automatically until canceled. You may cancel anytime from the dashboard; cancellation takes effect at the end of the current billing period. Subscription fees are non-refundable except where required by law.

4. Hardware kits

Hardware is a one-time purchase, separate from your subscription:

  • Starter Kit — $199
  • Growth Kit — $399
  • Premium Metal Kit — $899
  • Location Expansion Kit — $149
  • Chip Refill 50-pack — $79

Kits are produced with your branding, so orders cannot be canceled once production begins. If an item arrives defective or damaged, contact us and we will replace it.

5. Your chips never brick

If your subscription lapses, chips you have already deployed keep working: they resolve to a neutral LoyaltyChips page instead of your branded reward page. Your custom rewards pause while the subscription is inactive and resume when you re-subscribe. Nothing needs to be reprinted or replaced.

6. Your customers and their data

  • The customer list you build through your reward page belongs to you. For that data, you are the data controller and Sharka Software, LLC is your processor — in plain English, it is your list, and we store and handle it only to run your loyalty program on your instructions.
  • You can export your customer list as a CSV from the dashboard at any time.
  • Marketing texts or emails to your customers may be sent only to people who checked the separate, optional marketing-consent box. You must honor opt-outs (including STOP replies to texts) and comply with the marketing and privacy laws that apply to you, such as the TCPA, CAN-SPAM, and, where applicable, the GDPR and CCPA/CPRA.

7. Acceptable use

  • Do not use LoyaltyChips for anything unlawful, deceptive, or abusive.
  • The platform is industry-agnostic, and we do not review reward offers for legal compliance. You are responsible for making sure your reward offers are lawful in your jurisdiction and your industry.
  • Do not interfere with the service, probe or circumvent its security, or misrepresent who you are or what your business offers.

8. Intellectual property

You retain ownership of your logos, artwork, and content. You grant us a license to use them solely to provide the service and produce your hardware. The LoyaltyChips brand, software, and platform remain ours.

9. Disclaimer of warranties

The service is provided “as is” and “as available,” without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the service will be uninterrupted or error-free.

10. Limitation of liability

To the maximum extent permitted by law, our aggregate liability arising out of these Terms or the service is limited to the amounts you paid us in the twelve months before the event giving rise to the claim. We are not liable for indirect, incidental, special, or consequential damages, or for lost profits, revenue, or data.

11. Disputes and governing law

  • Before filing any claim, contact us at legal@loyaltychips.com and give us at least 30 days to resolve the issue informally. Most concerns can be settled this way.
  • To the extent permitted by law, disputes will be resolved on an individual basis, and both parties waive the right to participate in a class action.
  • These Terms are governed by the laws of the State in which Sharka Software, LLC is organized, without regard to conflicts of law.

12. Termination

You may stop using the service or cancel your subscription at any time. We may suspend or terminate accounts that violate these Terms. Before closing your account, you can export your customer list as a CSV; after termination, deployed chips continue to resolve to a neutral page as described in Section 5, and data is handled as described in the Privacy Policy.

13. Changes to these Terms

We may update these Terms as the service evolves. For material changes, we will give account holders at least 30 days’ notice by email before the changes take effect, and we will update the effective date above.
